Bramall Homes LTD – Construction Services
1. Definitions
In these Terms & Conditions:
Client means the person or company named in the Quotation.
Completion Date means the date on which the Works are completed, as specified in the Quotation or extended in accordance with these Terms.
Contract means the agreement between the Client and Bramall Homes LTD comprising the Quotation, these Terms & Conditions and any documents referenced within it.
Contractor means Bramall Homes LTD.
Contract Price means the price payable for the Works as shown in the Quotation, subject to variations.
Quotation means the signed written quotation issued by the Contractor.
Scope of Works means the description of works detailed in or attached to the Quotation.
Works means the works described in the Scope of Works including any agreed variations.
2. Scope of Works
2.1 The Contractor shall carry out the Works as detailed in the Scope of Works.
2.2 The Scope includes all materials, labour and services necessary to complete the Works in accordance with specifications and applicable regulations unless stated otherwise.
2.3 Any work not expressly included is excluded unless agreed in writing as a variation.
2.4 All works will be carried out in a professional and workmanlike manner in accordance with current building regulations.
3. Contract Formation
3.1 Acceptance of the Quotation forms a binding contract under these Terms.
3.2 The Client is responsible for obtaining planning permission unless agreed otherwise. The Contractor will obtain necessary permits required during construction unless stated otherwise.
3.3 The Client shall provide reasonable access to the premises throughout the project.
4. Payment Terms
4.1 The Contract Price is as stated in the Quotation and may vary in accordance with agreed changes.
4.2 A mobilisation fee is required before works commence.
4.3 Payment instalments and due dates will be detailed in the Quotation. Final payment date is 14 days unless otherwise stated.
4.4 Late payments may incur interest at 8% above the Bank of England base rate.
4.5 The Contractor reserves the right to suspend works for non-payment after 7 days written notice.
4.6 All payments must be made by bank transfer in pounds sterling. VAT will be added where applicable.
5. Retention
5.1 Retention arrangements, if applicable, will be detailed within the Quotation.
5.2 Release dates will also be specified in the Quotation.
6. Timeline and Site Access
6.1 Proposed commencement and completion dates are stated in the Quotation.
6.2 Completion dates are estimates unless otherwise specified.
6.3 The Contract assumes unrestricted access Monday to Friday 08:00–18:00 and Saturday 08:00–16:00.
6.4 Delays caused by variations, weather, late instructions, unforeseen conditions or restricted access will result in a reasonable extension of time.
7. Client Facilities
7.1 The Contract assumes use of Client facilities including water and electricity.
7.2 If facilities are unavailable, temporary provisions may be treated as a variation.
8. Variations
8.1 All variations must be agreed in writing before work commences.
8.2 The Contractor will provide a written quotation for variations including cost and programme impact.
8.3 Emergency variations required for safety may proceed with retrospective written confirmation.
9. Client Supplied Materials
9.1 The Client is responsible for quality and suitability of any supplied materials.
9.2 Materials must be on site at least 2 working days before required installation.
9.3 The Contractor is not liable for defects arising from Client supplied materials.
10. Insurance and Liability
10.1 The Contractor maintains Public Liability Insurance of £5,000,000.
10.2 Insurance details will be provided upon request.
10.3 The Contractor’s liability for defects extends for 6 months following Completion Date.
11. Handover and Defects
11.1 The Client will be invited to inspect the Works upon completion.
11.2 Defects identified within 6 months will be remedied by the Contractor.
12. Disputes
12.1 Parties will attempt to resolve disputes through negotiation.
12.2 Unresolved disputes may be referred to adjudication in accordance with CEDR rules.
12.3 The Contract is governed by the laws of England and Wales.
13. Termination
13.1 Either party may terminate with 14 days written notice.
13.2 Immediate termination may occur for non-payment, insolvency or material breach.
14. Force Majeure
14.1 Neither party is liable for delay caused by events beyond reasonable control including extreme weather, government action or material shortages.
15. General Provisions
15.1 These Terms constitute the entire agreement between the parties.
15.2 Any amendments must be agreed in writing.
15.3 If any provision is unenforceable, remaining provisions remain valid.
